Terms of Service

1. Scope and Parties

• These Terms apply to the use of the SwissInvoice software and related services.
• The Service is intended for customers in Switzerland.
• No insurance or coverage of any kind is provided. We do not offer financial, tax, legal, or insurance services.

2. Account Registration

• Provide accurate and complete information and keep it updated.
• Keep credentials confidential and secure; you are responsible for activities under your account.
• You must have legal capacity to enter into contracts.

3. Service Description

• Invoice and Swiss QR-Bill creation and management.
• Optional email delivery via Mailgun and payment handling via Stripe.
• APIs and integrations as documented.

4. Payments and Pricing

• Fees are charged in CHF via Stripe.
• Subscriptions renew automatically unless cancelled.
• All payments are final and non-refundable except where required by mandatory Swiss law.
• Taxes, duties, and levies are your responsibility unless stated otherwise.
• We may change prices with prior notice; continued use after changes constitutes acceptance.

5. No Insurance or Coverage

We do not provide any insurance, guarantee, indemnity, or coverage for losses, claims, penalties, or damages. The Service is software only.

6. Acceptable Use

• Do not use the Service for unlawful, fraudulent, or abusive purposes.
• Do not violate third-party rights or applicable laws (including financial regulations).
• Do not interfere with or disrupt the Service or attempt unauthorized access.

7. Intellectual Property

• We retain all rights in the Service, software, and content.
• You retain rights to your invoice data and content you upload.
• You grant us a limited license to process your content for operating the Service.

8. Data Protection

Personal data is processed under the Swiss revFADP as described in our Privacy Policy available in the Legal directory and on the website.

9. Warranties Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by Swiss law.

• We expressly disclaim any responsibility for calculation errors
• Service outages or malfunctions
• Failures of infrastructure or third-party providers (e.g., Stripe, Mailgun, hosting)
• Loss of profit, data loss, indirect or incidental damages

10. Limitation of Liability

• We are not liable for indirect, incidental, consequential, punitive, or special damages.
• Our aggregate liability for all claims in the last 12 months is limited to the fees paid by you for the Service during that period.
• We are not responsible for third-party services (e.g., Stripe, Mailgun).

11. Indemnity

You shall indemnify and hold us harmless from claims arising from your unlawful use of the Service or violation of these Terms.

12. Term and Termination

• You may cancel your subscription at any time with effect at the end of the current billing period.
• We may suspend or terminate access for material breaches or legal reasons.
• Upon termination, we may retain data as required by Swiss law; you should export your data before termination.

13. Governing Law and Venue

• Swiss substantive law applies, excluding conflict-of-law rules and CISG.
• Exclusive place of jurisdiction is Fribourg/Fribourg canton courts, Switzerland, subject to mandatory law.

14. Changes to Terms

We may amend these Terms with notice. Continued use after the effective date constitutes acceptance.
